3Registered Agent Requirements

Yes, you can serve as your own registered agent in Minnesota.

Requirements: For a domestic Minnesota LLC a registered AGENT is optional — Minnesota only requires a registered OFFICE (a physical Minnesota street address; a PO Box alone is not acceptable, though a mailing address may also be listed), per Minn. Stat. 322C.0113. If an agent is named, it may be a natural person residing in Minnesota or a domestic/foreign corporation or LLC authorized in Minnesota, and the agent's business office must be identical with the registered office (Minn. Stat. 5.36). An entity may not act as its own agent.

4Foreign LLC Registration

If your LLC was formed in another state but you want to do business in Minnesota, you'll need to register as a foreign LLC.

Stat. 322C.0805), and a Minnesota registered office address plus registered agent.

5Minnesota LLC Taxes

Minnesota has no LLC-level franchise tax. LLC income passes through to members who pay Minnesota individual income tax at graduated rates from 5.35% to 9.85% (2026). LLCs with employees must register with the Minnesota Department of Revenue for withholding tax and may need to collect and remit sales tax.
